Terms of Service

Last updated October 22, 2026

These Terms of Service (the “Terms”) form a binding agreement between MVP Strategic Consulting LLC, a California limited liability company that operates SiteProConnect (“SiteProConnect,” “we,” “us,” or “our”), and the person or entity that accesses or uses the Service (“Customer,” “you,” or “your”). By creating an account, signing in, or otherwise accessing or using the SiteProConnect web application, websites, and related services (collectively, the “Service”), you represent that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

“Authorized User” means an individual whom you permit to access the Service under your account. “Customer Data” means the data, records, and materials that you or your Authorized Users submit to or generate through the Service. “Documentation” means the usage materials we make generally available for the Service. “Third-Party Service” means a product or service not provided by us that you elect to connect to the Service.

2. The Service and license to use it

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of your subscription, solely for your internal business purposes. SiteProConnect is a customer-relationship and operations management platform for site-services businesses that helps you manage accounts, contacts, deals, job sites, rental assets, jobs, invoices, and payments, and that may exchange data with Third-Party Services you authorize. We may modify, enhance, or discontinue features of the Service from time to time, provided that we will not materially reduce the core functionality of a paid subscription during its then-current term without a commercially reasonable alternative.

3. Accounts and Authorized Users

You must provide accurate and complete registration information and keep it current. You are responsible for maintaining the confidentiality of all credentials associated with your account and for all activity that occurs under your account, whether or not authorized by you. You are responsible for your Authorized Users’ compliance with these Terms. You will notify us promptly of any actual or suspected unauthorized access to or use of the Service.

4. Acceptable use

You will not, and will not permit any Authorized User or third party to:

  • use the Service in violation of any applicable law or regulation or any third party’s rights;
  • submit to the Service any content that is unlawful, infringing, or that you lack the right to provide;
  • attempt to gain unauthorized access to the Service, to other accounts, or to our systems or networks;
  • interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure;
  • reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law; or
  • resell, sublicense, or provide the Service to any third party except as these Terms expressly permit.

5. Customer Data

As between the parties, you retain all right, title, and interest in and to Customer Data. You grant us a limited, worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data solely as necessary to provide and support the Service, including to exchange Customer Data with the Third-Party Services you authorize. You represent and warrant that you have obtained all rights and consents necessary to submit Customer Data to the Service and to authorize the processing described in these Terms and in the Privacy Policy. You are solely responsible for the accuracy, quality, and legality of Customer Data.

6. Third-Party Services

The Service can interoperate with Third-Party Services that you elect to connect, such as ServiceCore (ServiceCore, Inc.), QuickBooks Online (Intuit Inc.), Microsoft 365 and Microsoft Teams, Fleet GPS/telematics providers, and calling providers such as Ringaro. SiteProConnect is not affiliated with or endorsed by any of these providers. Your use of a Third-Party Service is governed by that provider’s own terms and privacy policy, and we are not responsible for any Third-Party Service. When you connect a Third-Party Service, you authorize us to access and exchange data with it on your behalf in order to provide the features you request. You may disconnect a Third-Party Service at any time through the integration settings, which will revoke our prospective access to it.

7. Fees and payment

If your subscription includes fees, you agree to pay all fees in accordance with the ordering terms presented at the time of purchase. Unless stated otherwise, fees are non-refundable, are quoted and payable in U.S. dollars, and are exclusive of taxes, which are your responsibility. We may revise pricing on a prospective basis, and any change will take effect at the start of your next renewal term following reasonable notice.

8. Intellectual property

The Service, the Documentation, and all software, designs, text, graphics, and other content comprising them (excluding Customer Data) are owned by us and our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights in and to the Service. If you provide suggestions or feedback regarding the Service, we may use that feedback without restriction or obligation to you.

9. Term and termination

These Terms remain in effect while you use the Service. You may stop using the Service and terminate your account at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or as reasonably necessary to protect the Service, its users, or third parties. Upon termination, your right to use the Service ceases. We will make Customer Data available for export for at least thirty (30) days following termination unless prohibited by law, after which we may delete it in the ordinary course. Sections that by their nature should survive termination will survive, including Sections 5, 8, 10, 11, 12, and 14.

10. Disclaimer of warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that it will meet your requirements. The Service is not a substitute for professional accounting, tax, legal, or financial advice, and you are responsible for your own compliance and recordkeeping.

11. Limitation of liability

To the fullest extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Service, whether based in contract, tort, or any other legal theory, and whether or not the party was advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim. These limitations form an essential basis of the bargain and apply notwithstanding the failure of essential purpose of any limited remedy.

12. Indemnification

You will defend, indemnify, and hold harmless SiteProConnect and its officers, members, and employees from and against any third-party claim, and any resulting losses, liabilities, damages, and reasonable attorneys’ fees, to the extent arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law or any third party’s rights.

13. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will provide reasonable notice, for example by posting the revised Terms with a new effective date or by notifying you through the Service. The revised Terms will take effect when posted unless stated otherwise, and your continued use of the Service after they take effect constitutes acceptance.

14. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other party. If the dispute is not resolved within thirty days, the state and federal courts located in California will have exclusive jurisdiction over it, and each party consents to personal jurisdiction and venue in those courts.

15. General

These Terms, together with the Privacy Policy and any ordering terms, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous understandings on that subject. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of it. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control. Notices to you may be provided through the Service or to the email address associated with your account.
